This course forms the second part of the full year module on digital contracts. The second semester shifts to B2B relationships, offering an in-depth examination of contracts for digital products and services, including cloud computing, SaaS agreements, open source licensing and maintenance contracts, analysed through the lens of EU and French law.

After a structured review of core contract law principles across the contract lifecycle, students will focus on the specific features of digital contracts — including cloud computing agreements, SaaS arrangements, open source licensing models and maintenance contracts. Drawing on model clauses and industry standards, the course enables students to critically assess risk allocation, liability regimes and market practices in this rapidly evolving field.
